1. Acceptance of Terms

By accessing or using the TortLogix website, submitting an intake form, executing a retainer through our e-signature workflow, or engaging us as a law firm client (collectively, the "Services"), you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Services.

2. Description of Services

TortLogix provides administrative case acquisition, consent verification, medical intake triage, e-signature routing, and CRM delivery infrastructure to licensed plaintiff law firms in connection with mass tort and multi-district litigation ("MDL") matters. Our Services are limited to marketing, verification, and administrative logistics; we do not evaluate the legal merits of any claim, and any qualifying criteria applied during intake reflect a receiving law firm's stated case-acceptance parameters, not a legal determination.

3. No Attorney-Client Relationship; Not a Law Firm

TortLogix is not a law firm and does not practice law. No attorney-client relationship is formed between TortLogix and any prospective claimant or law firm client by virtue of using the Services. Any retainer agreement generated through our e-signature workflow is executed directly between a prospective claimant and an independent, licensed law firm; TortLogix is not a party to that agreement and assumes no responsibility for its terms, the legal services subsequently provided, or the outcome of any litigation.

4. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. Law firm clients represent that they are duly licensed to practice law in the applicable jurisdiction(s) and that any individual acting on the firm's behalf is authorized to do so.

5. Law Firm Client Obligations

Law firms that engage TortLogix to source case referrals are solely responsible for: (a) independently verifying the accuracy and completeness of any intake information before relying on it; (b) making all legal and ethical determinations regarding case acceptance, conflicts of interest, and compliance with applicable rules of professional conduct, including advertising and referral rules in the relevant jurisdiction(s); (c) complying with all applicable laws in their own use, storage, and handling of claimant data received through our Services; and (d) maintaining their own TCPA and consumer-protection compliance program with respect to any subsequent outreach they conduct.

6. Terms Applicable to Prospective Claimants

If you submit information through our consumer-facing intake flow, you represent that the information you provide is true, accurate, and provided voluntarily. Completing our intake process, including our AI-assisted medical triage, does not guarantee that you qualify for any specific litigation, that a law firm will accept your case, or that you will receive compensation. Any retainer agreement presented to you for signature is between you and the named law firm; you should read it carefully and are free to decline to sign it or to seek independent legal counsel of your choosing at any time.

By submitting your contact information through our intake forms, you expressly consent to receive calls, text messages (including via automated dialing systems or prerecorded/artificial voice), and emails from TortLogix, its verification partners, and/or the receiving law firm regarding your submission, at the phone number(s) and email address(es) you provide, even if that number is registered on a state or federal do-not-call list. Consent is not a condition of any legal representation. Message and data rates may apply. You may revoke consent at any time by following the opt-out instructions provided in our communications or by contacting us using the information in Section 18.

8. Intellectual Property

All content on the TortLogix website, including text, graphics, logos, software, and the design and structure of our intake and verification workflows, is the property of TortLogix or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written consent, except as necessary to complete an intake submission or retainer execution in the ordinary course of using the Services.

9. Acceptable Use

You agree not to: submit false, fraudulent, or duplicate information; attempt to interfere with, disrupt, or gain unauthorized access to our systems, verification infrastructure, or CRM delivery mechanisms; use automated means (bots, scrapers) to access the Services without our prior written consent; or use the Services for any unlawful purpose, including in a manner that would violate the TCPA, state consumer-protection statutes, or applicable rules of professional conduct governing attorney advertising and referrals.

10. Fees & Payment (Law Firm Clients)

Fees, billing terms, docket allocation volumes, and payment schedules for law firm clients are governed by a separate written agreement executed between TortLogix and the firm. These Terms do not, by themselves, create a fee obligation; they apply in addition to any signed services agreement, which will control in the event of a conflict.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TORTLOGIX DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY SELF-REPORTED INTAKE OR MEDICAL INFORMATION, NOR DOES IT WARRANT THAT ANY REFERRED CASE MEETS THE LEGAL STANDARD FOR ANY PARTICULAR CLAIM.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TORTLOGIX AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TORTLOGIX'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO TORTLOGIX IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless TortLogix and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your violation of any applicable law; or (c) your submission of false, fraudulent, or unauthorized information through the Services.

14. Dispute Resolution & Arbitration

Except for claims that qualify for small claims court, you and TortLogix agree that any dispute arising out of or relating to these Terms or the Services will be resolved through binding, individual arbitration rather than in court, except that either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights. YOU AND TORTLOGIX EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. Arbitration will be administered by a mutually agreed arbitration organization under its then-current rules, and will take place in the jurisdiction specified in Section 16, unless the parties agree otherwise.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or exposes us to liability. Law firm clients' access may additionally be governed by termination provisions in a separate services agreement, which will control in the event of a conflict.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except to the extent preempted by federal law (including the TCPA). Subject to Section 14, any action not subject to arbitration will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

17. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with our Privacy Policy and any separate signed services agreement, constitute the entire agreement between you and TortLogix regarding the Services. We may update these Terms from time to time by posting a revised version on this page; continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
